1. IT Consulting & Software Development Services
Softcodes Technologies provides custom software development, IT consulting, cloud architecture, and related technology services. The specific scope, deliverables, and timelines of any project will be governed by a separate Statement of Work (SOW) or Master Services Agreement (MSA) signed by both parties.
2. Intellectual Property Rights
Upon full payment of all undisputed invoices, Softcodes Technologies assigns all rights, title, and interest in the custom source code and deliverables to the client. However, Softcodes retains the rights to any pre-existing proprietary tools, frameworks, and open-source libraries used to develop the software.
3. Confidentiality & NDA
We strictly protect your proprietary business information. Any trade secrets, business models, or sensitive data shared with Softcodes during the consultation or development phases will be treated with the utmost confidentiality, whether a formal Non-Disclosure Agreement (NDA) is signed or not.
4. Limitation of Liability for Software Defect
While we implement rigorous QA testing, software is inherently complex and may contain undiscovered bugs. Softcodes Technologies provides a standard warranty period (defined in your MSA) to fix critical defects. However, we are not liable for any indirect damages, lost profits, or business interruptions resulting from software downtime or third-party API failures.
